Legal terms governing your use of the UGIN platform

1Acceptance & Eligibility

By accessing or using the UAE Gold Infrastructure Network platform ("UGIN Platform"), you agree to be bound by these Terms of Service. If you do not agree, you must immediately cease using the platform.

Eligibility Requirements:

⚠️ Individuals acting in a personal capacity are not eligible for platform participation. UGIN is a B2B infrastructure platform for regulated financial and commodity entities only.
2Platform Access & Accounts

Account Registration: Organisations must complete the full participant onboarding workflow, including KYC/KYB documentation, beneficial ownership declaration, sanctions screening, and UGIN authority approval.

Credentials Security: You are solely responsible for maintaining the confidentiality of your API keys, access tokens, and login credentials. UGIN implements JWT-based authentication with 15-minute access tokens and 7-day refresh tokens. TOTP MFA is available and strongly recommended.

Access Levels: The platform operates on a 9-level permission hierarchy (L0–L9). Government oversight accounts hold L9 (superadmin); participant accounts hold L1–L6 based on verified participant type and regulatory status.

API Keys: API keys may be generated for programmatic access. Each key carries specific permissions and may be revoked at any time. UGIN reserves the right to revoke API keys for security or compliance reasons without prior notice.

3Gold Registration Rules

Eligible Gold: Only gold meeting the following minimum standards may be registered on UGIN:

UGIN ID: Each registered gold asset receives a unique, irrevocable UGIN ID in the format UGIN-AE-GOLD-{10-digit-sequence}. This ID cannot be reused or transferred to another physical asset.

Registration is irrevocable once an asset reaches "Certified" status. Revocation of certificates is available only to UGIN authority in cases of fraud, error, or regulatory order.
4Settlement Terms

DvP Model: UGIN implements Delivery-versus-Payment (DvP) Model 1 (gross simultaneous settlement). Both the gold ownership transfer and payment confirmation are recorded atomically in the UGIN ledger.

Settlement Finality: Once a settlement reaches "Completed" status, it is irrevocable. No reversal, chargeback, or refund is possible through the UGIN platform. Disputes must be resolved through the Dispute Resolution procedure in Section 9.

Settlement Lag:

Compliance Check: Every settlement undergoes automated sanctions screening of both parties and an encumbrance check (financed/locked assets cannot be settled) before proceeding.

All fees are subject to UAE Value Added Tax (VAT) at the standard rate of 5%. Revenue is split between the UGIN platform and the UAE Government pursuant to bilateral corridor agreements. Invoices are generated automatically and due within 30 days.

6Participant Obligations
7Intellectual Property

UGIN Platform IP: The UGIN platform, including all software, APIs, algorithms, AI models, databases, branding, and documentation, is the exclusive intellectual property of the UAE Gold Infrastructure Network and is protected by UAE Federal Law No. 38 of 2021 on Copyright and Neighbouring Rights.

Participant Data: Participants retain ownership of their own transaction data, gold asset records, and business information. UGIN holds a non-exclusive, irrevocable licence to use this data for platform operation, regulatory reporting, and anonymised analytics.

Certificate Data: UGIN Gold Certificates are official platform documents. Participants hold a licence to use certificates for trade and financing purposes, but may not alter, forge, or misrepresent certificate content.

8Liability & Indemnification
UGIN's total cumulative liability for any claims arising from use of the platform shall not exceed the fees paid by the participant in the 12 months preceding the claim.

Exclusions from Liability: UGIN is not liable for losses arising from: (a) participant error or fraud; (b) market price movements in gold; (c) force majeure events including regulatory changes, sanctions, war, or natural disaster; (d) technology failures beyond UGIN's reasonable control including third-party payment systems; (e) participant breach of these Terms.

Indemnification: Participants agree to indemnify and hold harmless UGIN, its officers, directors, and regulatory partners against any losses, claims, or regulatory proceedings arising from participant's breach of these Terms, applicable law, or misuse of platform data.

9Governing Law & Disputes

Governing Law: These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Where applicable, the laws of the Dubai International Financial Centre (DIFC) apply to entities operating through DIFC-registered entities.

Dispute Resolution — Step 1 (Negotiation): Parties must first attempt to resolve disputes through good-faith negotiation within 30 days of written notice.

Dispute Resolution — Step 2 (Mediation): If negotiation fails, parties shall submit to mediation before the Dubai International Arbitration Centre (DIAC) Mediation Centre.

Dispute Resolution — Step 3 (Arbitration): If mediation fails, final and binding arbitration before the DIFC-LCIA Arbitration Centre under the DIFC-LCIA Arbitration Rules. Seat of arbitration: Dubai, UAE. Language: English. Number of arbitrators: one (claims under AED 5M) or three (claims above AED 5M).

Regulatory Disputes: Disputes involving CBUAE regulatory matters are subject to the exclusive jurisdiction of the competent UAE regulatory authority.

10Termination & Suspension

Grounds for Immediate Suspension:

Grounds for Termination with 30-Day Notice: Licence expiry without renewal; voluntary withdrawal; prolonged inactivity (12+ months); change of control without UGIN authority approval.

Effect of Termination: Outstanding settlements will be completed per their state machine. Certified gold assets remain in the UGIN registry but are flagged as belonging to a terminated participant. Active loans must be repaid or refinanced within 60 days.
